IMPORTANT— READ CAREFULLY PRIOR TO USING FINCH’S SERVICES AND/OR SOFTWARE. THESE GENERAL TERMS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND ARCHFINCH AB. (“FINCH”). BY ACCESSING AND OTHERWISE USING ANY PORTION OF THE SERVICES OR SOFTWARE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE A USER ACCOUNT AND DO NOT ACCESS OR USE THE SERVICES OR SOFTWARE. YOU AGREE THAT YOUR ACCESS AND/OR USE OF THE SERVICES AND SOFTWARE REPRESENTS YOUR ACKNOWLEDGEMENT THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEIR TERMS.

These Terms and Conditions govern your use of Monet’s websites (Monet.io, Monet.co), our generative design engine, web-based architectural tools, and digital twin services (collectively the “Services”). This agreement is established under the laws of the State of Delaware. By using our Services, you acknowledge that you have read and understood these Terms and our Privacy Policy.

1. LICENSED NOT SOLD

You acknowledge and agree that the Services and any associated software are licensed to you, not sold. Any reference to the "purchase" of Monet Services refers strictly to the purchase of a limited license to utilize our proprietary generative tools. Monet reserves all rights not expressly granted to you under this agreement.

2. INTELLECTUAL PROPERTY AND AI TRAINING

All right, title, and interest in and to the Services, including the AI pipelines, 2D/3D generation logic, and architectural algorithms, are owned and retained exclusively by Monet. By using the Services to generate assets, layouts, or concepts, you grant Monet a non-exclusive, world-wide, royalty-free license to use those generated assets and your input prompts for the purpose of maintaining, training, and optimizing our machine learning models. This is essential to the evolution of our generative design engine.

3. USER ELIGIBILITY AND ACCOUNTS

To access the Services, you must create a User Account. Accounts are restricted to persons 18 years of age or older who possess the legal capacity to form a binding contract. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Monet reserves the right to suspend or terminate accounts that provide false information or violate the integrity of the platform.

4. ACCEPTABLE USE POLICY

In order to protect the Monet community, you agree not to use the Services to upload or generate content that is unlawful, infringing, or harmful. Specifically, you may not attempt to reverse engineer our AI pipelines, probe our technical infrastructure for vulnerabilities, or utilize the Services to collect information about other individuals without consent. Any attempt to circumvent geographical restrictions or interfere with the proper working of the Platform will result in immediate termination of access.

5. PRIVACY AND DATA HANDLING

Your privacy is a priority. Our management of your Personal Information is governed by our Privacy Policy, which is incorporated into these Terms by reference. As a global company, we process data in accordance with our Delaware-based infrastructure requirements. You acknowledge that your use of the Services constitutes consent to our data practices, including the absence of tracking cookies.

6. WARRANTIES AND DISCLAIMERS

MONET PROVIDES THE SERVICES “AS IS” AND “AS AVAILABLE.” GIVEN THE EXPERIMENTAL NATURE OF GENERATIVE AI, WE MAKE NO SPECIFIC PROMISES ABOUT THE ACCURACY, RELIABILITY, OR SUITABILITY OF THE GENERATED LAYOUTS FOR CONSTRUCTION OR REGULATORY APPROVAL. USE OF THE SERVICES IS AT YOUR OWN RISK. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW, MONET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF YOUR USE OF THE GENERATIVE TOOLS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MONET IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the **State of Delaware**, USA. Any dispute arising from these Terms that cannot be resolved through good-faith negotiation shall be brought exclusively before the state or federal courts located in Delaware. You waive any objection to such jurisdiction or venue.

9. TERMINATION AND CHANGES

Monet reserves the right to modify these Terms or the Services at any time to reflect changes in the law or technical improvements. We will notify you of material changes via the email associated with your account. Your continued use of the platform after such notice constitutes acceptance of the modified Terms. You may terminate your account at any time, subject to our data retention practices for legal compliance.
